1. Agreement to Terms

These Terms of Use ("Terms") are a binding agreement between you and NEMT University ("NEMT University", "we", "us"), operated by [LEGAL ENTITY NAME], [ENTITY TYPE], located at [BUSINESS ADDRESS]. By creating an account, purchasing a product, enrolling in a course, booking coaching, or otherwise using the platform, you agree to these Terms. If you do not agree, do not use the platform.

2. Educational Purpose Only

NEMT University provides educational and business-development information only. Content does not constitute legal, tax, financial, medical, insurance, or regulatory advice. Users are responsible for independently verifying information and for all business decisions, transportation operations, compliance obligations, and activities outside the platform. Results are not guaranteed.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract. You agree to provide accurate registration information, to keep your credentials confidential, and to be responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms.

4. Memberships and Subscriptions

Memberships renew automatically on the interval selected at checkout until canceled. You authorize us and our payment processor to charge your payment method each billing period. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current paid period unless stated otherwise. Prices, plan features, and included benefits may change prospectively with notice.

5. Digital Products and Downloads

Digital products, templates, worksheets, and downloadable files are licensed, not sold. Subject to Section 6, you receive a limited, non-exclusive, non-transferable license for your own business use. Download limits and access windows may apply and are shown at purchase.

6. License Restrictions

You may not copy, resell, sublicense, publish, distribute, share account access, scrape, or create derivative products from platform content, nor use it to build a competing course, program, or training product. Recording, re-broadcasting, or redistributing videos, live sessions, or coaching calls is prohibited.

7. Coaching Services

Coaching sessions are educational consulting engagements. Coaches do not provide legal, accounting, medical, insurance, or regulatory representation and do not act as your agent, broker, or licensed advisor. Session credits, scheduling windows, rescheduling rules, and cancellation notice requirements are shown at booking.

8. Community Conduct

Community spaces are moderated. You agree not to harass, threaten, spam, solicit without permission, impersonate others, or post unlawful content. Do not post patient records, protected health information, Social Security numbers, payment-card information, or other sensitive personal data. We may remove content and restrict access at our discretion. See the Community Guidelines for details.

9. Certificates of Completion

A NEMT University Certificate of Completion is an educational credential issued by NEMT University. It is not a government license, Medicaid approval, broker approval, or authorization to provide regulated transportation services. Certificates may be revoked for academic dishonesty or Terms violations.

10. Payments, Taxes, and Billing Disputes

Prices are stated in U.S. dollars unless noted. Applicable sales, use, or value-added tax may be added at checkout. You agree to contact us before initiating a chargeback so we can resolve the issue directly. Fraudulent or abusive chargeback activity may result in account termination and loss of access.

11. Refunds

Refund eligibility is governed by our Refund Policy, which is incorporated into these Terms by reference.

12. Earnings and Results

Any earnings figures, case studies, testimonials, or examples are illustrative and are not a guarantee, promise, or projection of your results. Your outcomes depend on factors outside our control. See the Earnings Disclaimer.

13. Regulatory and Operational Responsibility

You are solely responsible for your own licensing, permits, vehicle standards, driver qualifications, insurance, HIPAA and privacy obligations, Medicaid or broker enrollment, contracting, and all federal, state, and local compliance. Requirements vary by jurisdiction and change over time. Verify all current requirements with the appropriate agencies and qualified professionals.

14. Intellectual Property

All platform content, branding, course materials, and software are owned by NEMT University or its licensors and are protected by intellectual property laws. "NEMT University" and associated logos are trademarks of [TRADEMARK OWNER].

15. User Submissions

You retain ownership of content you submit, and you grant us a worldwide, non-exclusive, royalty-free license to host, display, and use it to operate and improve the platform and to moderate the community. You represent that you have the rights to submit the content.

16. Third-Party Services

The platform integrates third-party services, including payment processing and video hosting. Your use of those services is subject to their own terms. We are not responsible for third-party acts or omissions.

17. Disclaimer of Warranties

The platform and all content are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.

18. Limitation of Liability

To the maximum extent permitted by law, NEMT University and its owners, employees, coaches, and contractors are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or regulatory penalties. Our total aggregate liability is limited to the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).

19. Indemnification

You agree to indemnify and hold harmless NEMT University from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your business operations, or your breach of these Terms.

20. Termination

We may suspend or terminate your access for violation of these Terms, non-payment, fraud, or risk to the platform or other users. Sections that by their nature should survive termination will survive.

21. Changes to These Terms

We may update these Terms. Each version is stored with its own version number and effective date. When an update is material, we will require your renewed acceptance before continued use. Previously accepted versions are retained as a record of what you agreed to.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of [GOVERNING STATE], without regard to conflict-of-laws rules. [DISPUTE RESOLUTION TERMS — arbitration vs. courts, venue, class-action waiver: to be finalized with counsel.]
